About the Role

Are you a vital and responsible legal professional ready to combine your passion for corporate law with the wonders of sport? Decathlon Malaysia is looking for a dynamic Legal Counsel - Corporate to establish and uphold the highest standards of corporate governance. You will play a key role in ensuring comprehensive legal compliance across our Malaysian operations while fostering a culture of accountability, transparency and ethical conduct.

Key Responsibilities

1. Corporate Governance & Secretarial Excellence

  • Prepare, validate, and archive corporate records (Board/shareholder minutes, resolutions, and articles of association amendments).

  • Manage share capital transactions, validate legal documentation for financial statement approval, and coordinate annual legal reports with external auditors.

  • Advise managers on professional duties, rights, and the compliant deployment of delegations of authority.

  • Manage corporate document archiving tools to maintain a 100% compliance rate.

2. Governance Advisory & Board Relations

  • Provide strategic legal advice to the Board of Directors and specialized committees (audit, financial, governance) on best practices and charters.

  • Advise on shareholder rights, corporate communications, and compliance with local securities regulations.

  • Draft documents for and attend board meetings to ensure proper legal procedures are followed.

  • Optimize legal governance frameworks for subsidiaries to align with Decathlon’s strategic goals.

3. Secure Legal Structuring

  • Maintain the corporate structure of local entities, subsidiaries, and administrative setups.

  • Develop optimal transaction structures for strategic business moves (e.g., Franchise Transformations, country openings/closings, dissolutions, or acquisitions) with a focus on regulatory and tax implications.

  • Conduct legal due diligence for potential mergers and acquisitions to assess risks and liabilities.

  • Review, draft, and negotiate key corporate agreements, term sheets, shareholder agreements, and letters of intent.

  • Support equity-incentive frameworks, providing guidance on teammate stock options and vesting plans.

4. Active Business Partnership

  • Proactively identify legal, regulatory, or compliance risks and provide practical solutions aligned with Decathlon's business model.

  • Build strong relationships with stakeholders, ensuring alignment with anti-corruption policies and code of conduct.

  • Leverage digital tools, Contract Lifecycle Management (CLM) systems, and AI tools (such as Gemini) to optimize workflows.

Profile

Who We Are Looking For 

  • Qualification: Degree in Law and admitted to practice in Malaysia.

  • Experience: 2 to 3 years of experience practicing as a corporate lawyer or holding equivalent in-house corporate legal experience.

  • Skills & Knowledge: Solid foundational understanding of basic corporate accounting, finance, and transaction structures.

    • Robust expertise in Corporate Law, Contract Law, Risk Management, and Ethics & Compliance.

    • Strong digital literacy and adaptability to specialized contract lifecycle management (CLM) platforms.

  • Language: Excellent written and spoken English 

  • Soft Skills: Critical thinking, organizational mastery, persuasive communication, decision-making capabilities, and a strong strategic sense.
